1. Acceptance of terms

By accessing or using mnssoftware (the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including users of the free plan and subscribers to a paid plan. The Service is intended for use by businesses and individuals operating in India.

2. The service

mnssoftware ("MNS Billing / GST Billing") is an all-in-one GST billing and accounting application for Indian small businesses. It enables users to create GST-compliant invoices, purchase bills, credit and debit notes, GSTR returns, inventory records, and related financial reports.

The core application runs in the browser and operates offline by default. Cloud sync is an optional feature available to paid subscribers.

3. Accounts

Creating an account is not required to use the free plan. An account is required to enable cloud sync and access paid features.

• You must provide an accurate email address when registering.
• You are responsible for keeping your password secure and for all activity that occurs under your account.
• You must not share your account credentials or use another person's account.
• Notify us immediately at mnssoftware1@gmail.com if you suspect unauthorised access to your account.

4. Subscriptions and payment

Plans and prices

The Service is offered on three tiers:

• Free Plan: available to all users at no cost with core billing features and local (offline) storage.
• Monthly Plan (Pro): ₹99 per month, billed monthly via Razorpay. Unlocks all features including cloud sync, GSTR filing, E-Invoice, and inventory.
• Annual Plan (Pro): ₹999 per year, billed annually via Razorpay. Includes the same features as the Monthly Plan at a discounted rate.

All prices are stated in Indian Rupees (INR ₹) and are inclusive of applicable taxes where required.

Billing and renewal

Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date. By subscribing, you authorise Razorpay to charge your chosen payment method on a recurring basis.

Changing plans

You may switch between monthly and annual billing. Changes take effect at the end of your current billing period; you will not be charged twice for the same period.

Failed payments

If a payment fails, we will notify you and retry. If payment remains unsuccessful, your account will be downgraded to the Free Plan until payment is resolved.

5. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to create false, fraudulent, or fabricated GST invoices or financial documents.
• Attempt to gain unauthorised access to any part of the Service or any other user's account.
• Reverse engineer, decompile, or otherwise attempt to derive source code from the Service.
• Use automated tools to scrape, crawl, or systematically extract data from the Service.
• Violate any applicable Indian law, including the GST Act, Information Technology Act, or Income Tax Act.
• Introduce viruses, malware, or any other harmful code.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

6. Your data

You retain full ownership of the billing and financial data you enter into the Service. We do not claim any rights over your business data.

When you use the Service without cloud sync, all data is stored locally on your device. We have no access to it and cannot recover it if lost.

When cloud sync is enabled, your data is stored on our servers in encrypted form and used solely to provide the Service to you. See our Privacy Policy for full details.

You are responsible for ensuring that the data you enter is accurate, complete, and compliant with applicable tax and financial regulations.

7. Intellectual property

The Service, including its software, design, and documentation, is owned by MNS Software and is protected by applicable intellectual property laws. These Terms do not grant you any right to use our name, logo, or branding without prior written permission.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your own internal business purposes, subject to these Terms.

8. Availability and changes

Because mnssoftware is offline-first, the core application functions without internet access. Cloud sync and payment features require connectivity.

We may update, modify, or discontinue features of the Service at any time. We will notify subscribers of material changes that affect paid features with reasonable advance notice. We do not guarantee uninterrupted access to cloud services.

9. Limitation of liability

The Service is provided "as is" and "as available". To the fullest extent permitted by applicable law, MNS Software disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or accuracy of statutory filing outputs.

You are responsible for verifying all invoices, returns, and financial reports before submission to the GST portal or any other authority. mnssoftware is a tool to assist preparation; it is not a substitute for professional accounting or tax advice.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the three months preceding the claim.

10. Governing law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of India.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force.
